Acceptance of These Terms 

These Terms of Use ("Terms") apply to the F/m Investments LLC ("FMI" or "we" or "us" or "our") website at www.fminvest.com (the "Site") any registration-based portal available through the Site (the "Portal") and any tools or other interactive items made available by FMI via the Site or the Portal (the “Tools”). Together the Site, Portal and Tools are referred to as the “Website” in these Terms. By using the Website or any part of it, including the Portal and/or the Tools, you agree to these Terms. If you don't agree, please exit immediately and do not use the Website, Site, Portal and/or Tools. These Terms work alongside our Website Privacy Policy, which explains how we handle information collected through the Website. See Relationship to Other FMI Disclosures below.

All services provided through the Website and all pages and information contained within it and any material made available to download are the property of FMI and/or its subsidiaries, affiliates, vendors and licensors. We grant you a non-exclusive, non-transferable license to use the Website solely for your personal use. As a condition of your use of the Website, you warrant that you will not use them for any purpose that is unlawful or prohibited by these Terms. If you breach these Terms, your authorization to use the Website will automatically terminate and you must immediately destroy any downloaded or printed materials.

The contents of the Website, including the text, images, audio, and video, are copyrighted and may not be distributed, modified, reproduced, or used, in whole or in part, without the prior written consent of FMI, except that you may download content from the Website to any single computer for your personal, non-commercial use only, provided you keep intact all copyright, trademark, and other proprietary notices and comply with any applicable end user license agreements. For purposes of these Terms, any use of these materials on any other website or networked computer environment for any purpose is prohibited.

All trademarks, service marks, icons, and logos used in this Website are the trademarks, service marks or logos of FMI and its respective owners (unless marked as otherwise).

You may not use automated systems (e.g., robots, crawlers, spiders, artificial intelligence, machine learning) to access or view the Website. You agree not to collect personally identifiable information of other users of the Website or to sell or otherwise exploit that information. You also agree not to enter any of your own personally identifiable information in any Tools.

Any rights not expressly granted by these Terms, or any applicable end user license agreements are reserved by FMI and its vendors and licensors.

We may, in our sole discretion and without prior notice, modify the Website, remove, or alter functionality, or cease provision of the Website or any part of it at any time.

Eligibility 

You must be at least 18 years old to use the Website. If you're using the Website on behalf of an organization, you're confirming you have the authority to agree to these Terms for that organization. If you are a financial professional, registration for the Website or any portion of it, including the Portal, should be with your firm e-mail address.

Restrictions 

You may not and will not allow any third party to: (i) decompile, disassemble, reverse engineer, or otherwise attempt to derive the trade secrets embodied in the Website, except to the extent expressly permitted by applicable law; (ii) use the Website to develop a competing product or service; (iii) use the Website for any purpose for which it was not designed, or inconsistent with any online documentation we provide; and (iv) remove any copyright, trademark, proprietary rights, disclaimer, or warning notice included on or embedded in any part of the Website, or any other products or materials made available or exportable through or from the Website.

No Investment Advice; No Offer to Buy or Sell 

Everything on the Website, including any Tool provided inside or outside of the Portal, is for general information only. It is not investment, legal, or tax advice, and it is not a recommendation to buy, sell, or hold any security or to follow any particular strategy. Nothing here is an offer to sell or a solicitation to buy securities in any place where that would be against the law. Using the Website does not make you an FMI advisory client. That relationship only exists if you've signed a separate advisory agreement with us.

Fund Materials 

The Site may mention mutual funds and exchange-traded funds (“ETFs”} that FMI advises (each a “Fund” or together, the "Funds"). Before investing in any Fund, read the prospectus and other Fund materials, which contain each Fund's objectives, risks, fees, and expenses. Those materials, not anything else on the Website, are the authoritative source.

Third-Party Data 

The Website displays historical data from public government sources, including, but not limited to, the Board of Governors of the Federal Reserve System (the "Federal Reserve"), the Federal Reserve Economic Data ("FRED") published by the Federal Reserve Bank of St. Louis, the U.S. Bureau of Labor Statistics ("BLS"), the U.S. Department of the Treasury, the Commodity Futures Trading Commission (the "CFTC"), the Federal Open Market Committee (the "FOMC"), the U.S. Bureau of Economic Analysis (the "BEA") and TreasuryDirect. We don't create or control this data, and we can't guarantee it's accurate, complete, or current. Use it at your own risk, and don't treat it as the sole basis for any investment decision.

Our Content 

The Website — including the text, design, logos, the FMI name, and data compilations (but not the public government data described above) — belong to FMI or our licensors. You can view and download content for your own personal use. Please don't copy, redistribute, or reuse our content for other purposes without our permission. Financial professionals are expressly not permitted to download and/or utilize any materials output from any Tools with their clients.

The Website shares general information about FMI and the mutual funds, ETFs and other advisory strategies we advise. The Site and Portal contain Tools that are free and open to anyone and show historical U.S. economic and interest-rate data from public government sources (like Federal Reserve interest rates and CPI data). To use some Tools, you may be required to register with a name and email address, but they are free of cost. If you are a financial professional, you should always register utilizing your firm-approved e-mail address and not your personal e-mail address.

Acceptable Use 

You shall not use the Website to:

• Upload, post, e-mail or otherwise transmit any content that is unlawful, harmful, threatening, intimidating, abusive, harassing, tortuous, defamatory, derogatory, vulgar, obscene, libelous, invasive of another’s privacy, disrespectful, hateful, or racially, ethnically or otherwise objectionable;
• Impersonate any person or entity or falsely state or otherwise misrepresent their affiliation with a person or entity or create a false persona;
• Forge headers or otherwise manipulate identifiers to disguise the origin of any content transmitted through the Website;
• Upload, post, e-mail or otherwise transmit any content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;
• Upload, post, e-mail or otherwise transmit any material that contains software viruses or worms, or any other computer code, files or programs designed to disable, interrupt, destroy, redirect, monitor another user’s usage, limit or otherwise inhibit the functionality of any computer software or hardware or telecommunications equipment;
• Harvest screen names for any purpose;
• Interfere with or disrupt the Website or the servers or networks connected to the Website, or disobey any requirements, procedures, policies or regulations of networks connected to the Website;
• Upload, post, e-mail, distribute, deliver or otherwise transmit any bulk or unsolicited or unauthorized commercial e-mail, advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation;
• Collect or store personal data about other users or provide any financial or other non-public information about yourself, your clients or others in the Website; and/or
• Use the Website for any commercial purpose not expressly approved by FMI in writing.

We may suspend or end your Website access at any time if we believe you've broken these rules or are causing harm to us or others.

Links to Other Sites 

FMI makes no representations whatsoever about any other web site that you may access through this Website. When you access a non-FMI site, please understand that it is independent from us, and that we have no control over the content on that website. In addition, a hyperlink to a non-FMI website does not mean that FMI endorses or accepts any responsibility for the content, or the use, of the linked site. It is up to you to take precautions to ensure that whatever you select for your use or download is free of such items as viruses, worms, Trojan horses, and other items of a destructive nature. If you decide to access any of the third-party sites linked to the Website, you do this entirely at your own risk.

Indemnification 

At FMI’s option and request, you will, at your own expense, indemnify, defend, and hold FMI, its subsidiaries, and its affiliates, and its and their respective officers, directors, members, employees, agents, successors, co-branders, suppliers, and associates, harmless from and against any losses, costs, damages, fines, sanctions, liabilities, and expenses (including reasonable attorneys’ fees and other court costs), arising out of your use of the Website or related to a third-party claim, action or allegation (i) based on or caused by unauthorized access to the Website through your login or account, (ii) based on your actual or alleged breach of these Terms, (iii) based on your violation of any applicable law or regulation of any jurisdiction, or (iv) arising out of any content that you upload or provide to the Website. You may not enter into a settlement or stipulated judgment of the foregoing without FMI’s prior written consent.

Governing Law 

These Terms are entered into in the State of Delaware and shall be governed by and construed in accordance with the laws of the State of Delaware, exclusive of its choice of law rules. All disputes arising under these Terms shall be resolved in the state and federal courts located in Delaware, and each party hereby irrevocably submits to the exclusive jurisdiction of such courts.

Changes to These Terms 

You may print a copy of these Terms using the print feature in your browser. We suggest retaining a copy for your future reference. You should be aware, however, that we may revise these Terms at any time, and by your continued use of the Website or any part of it, you agree to be bound by future revisions. It is your responsibility to periodically visit the “Terms of Use” link at the bottom of our home page to review the most current version of the Terms. You may use your browser to print copies of any updated Terms.

Accuracy and Integrity of Information 

Although FMI attempts to ensure the integrity and accurateness of the Website, it makes no guarantees whatsoever as to the correctness or accuracy of the Website, or any information made available through it (e.g., market data, historical data, etc.). It is possible that the Website and any information contained therein could include typographical errors, inaccuracies or other errors, and that unauthorized additions, deletions and alterations could be made to the Website by third parties. In the event that an inaccuracy arises, please inform FMI so that it can be corrected. Information contained on the Website may be changed or updated without notice. FMI reserves the right to unilaterally correct any inaccuracies on the Website without notice. Information contained on the Website may be changed or updated without notice. Additionally, FMI shall have no responsibility or liability for information, products, or content posted to the Website from any non-FMI affiliated third-party. We make efforts to accurately display the colors of our products that appear on the Website. However, as the actual colors you see will depend on your monitor, we cannot guarantee that your monitor’s display of any color will be accurate.

Relationship to Other FMI Disclosures 

These Terms cover your use of the Website. They don't change or replace our Website Privacy Policy, which governs how we handle information from the Website, or our annual Privacy Notice to advisory clients under Regulation S-P and the Gramm-Leach-Bliley Act, which governs advisory clients' nonpublic personal information. If these Terms and the applicable Privacy Policy ever conflict on how we handle personal information, the applicable Privacy Policy governs.

Entire Agreement 

These Terms, as they may be amended from time-to-time by FMI, constitute the entire agreement between FMI and you pertaining to the subject matter hereof. Certain provisions of these Terms may be superseded by expressly designated legal notices or terms located on particular pages within this Website.
